The UK National Security and Investment Act came into full force on 4 January 2022. This created the UK’s first stand-alone national security and foreign direct investment regime, giving government the power to review, impose conditions or even block deals where it considers the deal to pose a national security risk. Mandatory notifications can be triggered across 17 sectors and the new regime will affect up to 1800 deals per year, including private equity, acquisition finance, and restructuring deals.
